LEGAL MANAGER
We are looking for a highly skilled Indonesia-qualified lawyer with 4-5+ years of experience to join our legal team. This role will be based in Jakarta. You will work closely with business units to support the growth as well as be responsible for the end- to-end process of legal matters relating to any corporate and strategic alliances of the Company, including in our group holding and respective subsidiaries. The ideal candidate will have experience dealing with M&A transactions (either representing buy- side or sell-side clients), strategic deals and financing transactions of all sizes. Prior experience working in a similar streamline in startups is a plus, but not required. Candidates can expect to work on a variety of corporate and M&A matters in a team- oriented environment, collaborating with our Corporate Strategy team and Finance team across our SEA offices.
Job Descriptions:
- Reporting to the Senior Legal Manager, you will work on exciting strategic deals and transactions across the Company group and through a collaboration with Ruangguru SEA legal teams
- Develop practical and innovative ways to meet the Company’s needs and keep the Company thriving. In this role, you’ll consult, review, negotiate and/or draft a variety of NDAs, corporate, and commercial agreements, with a focus on M&A transactions and strategic deals
- Engage, partner, liaise with and manage internal stakeholders (e.g. business units and senior management team) and external stakeholders (e.g. counterparts, external counsels, corporate secretary, investors) on ad-hoc projects and as needed to support the Company objectives and advice on legal risks and opportunities related to their strategies and business goals
- Support a broad range of general corporate legal matters, legal documents filing and other legal affairs that crop up in the day-to-day operations of a rapidly evolving edutech company
- Together with other legal team members, develop and conduct engaging internal trainings for internal partners on various legal-related topics on commercial aspects as to reduce risk
Job Requirements:
- Proven solid experience as in-house legal counsel or experienced lawyers in reputable law firms with 4-5 years of experience
- Excellent command of written and spoken English and Indonesia due to the nature of the business and high level of interactivity with senior management and across international teams
- Demonstrate a keen ability to issue-spot sensitive legal and business concerns, including a strong sense of when to escalate such matters to internal partners, and proactively propose solutions
- A highly approachable, collegial, and collaborative approach, aiming to building bridges and balancing needs across a rapidly changing organization and able to empathize through differences of view and values of others
- An accountable and proactive self-starter, comfortable working independently and remotely with colleagues
- Strong leadership, organizational, negotiation, and project management skills
- Having a PERADI license and/or masters degree would be advantageous

LEGAL SPECIALIST
- Give accurate and timely counsel to business units in a variety of legal topics, including in partnerships, international ventures, corporate finance and labor laws.
- Collaborate with across functions to create internal legal compliance and systems
- Research and evaluate different risk factors regarding business decisions and operations
- Manage and handle our deals and structure in holding and subsidiaries level
- Apply effective risk management techniques and offer proactive advise on possible legal issues
- Communicate and negotiate with external parties (regulators, external counsel, public authority etc.)
- Draft, reviewing and finalizing various types of agreements, contracts and other legal documents to ensure protection of our rights.
- Assist and provide advice to the Company in litigation case (if necessary)
Requirements:
- Proven experience as in-house legal counsel or experienced lawyers in reputable law firms with 2-4 years experience
- Have a PERADI license
- Excellent command of written and spoken English and Indonesia due to the nature of the business and high level of interactivity with senior management and both across international teams
- Leadership skills and strong negotiation skills
- Demonstrated ability to create legal defensive or proactive strategies
- High attention to detail, highly motivated, problem solver that can translate legal advice into commercial business language, and able to empathize through differences of view and values of others

You will be supporting our legal team in conducting legal research in broad subject matters, assisting in providing legal review and legal drafting on various contracts and also performing day-to-day legal support. You will also work closely with other departments to socialize company internal policy and assist in solving legal issues in various commercial and product-related settings.
Job Requirements:
- Bachelor of Law degree from a reputable university with a minimum GPA of 3.25
- Great leadership track record in on-campus organizations or other extracurricular activities
- At least 1-2 years in law firm or start-up company is preferred
- Excellent verbal and written English skills
- Ability to work in a dynamic and fast-paced team environment.
