Legal Litigation Specialist AIA Indonesia

AIA is hiring for Legal Litigation Specialist who will be resposible to manage the disputes and litigation of the company, as well as give advice to the company about litigation matters.

Key Responsibilities:

  • Advising the Company on the litigation risks of possible business decisions, providing preventive counselling with respect to the legal risks associated with business practices, and developing strategy with both inside and outside counsel in response to civil litigation (including negotiating settlement agreements where appropriate), and cost-effectively managing the resources required to address those matters
  • Representing the Company for any disputes and litigation, to appear before the court, Badan Mediasi Asuransi Indonesia, BPSK or other Indonesian’s law enforcement bodies
  • Assisting the Operation Department in handling legal questions related to customers complaints and claims and prepare/ review draft operation related agreements
  • Supervise the work of the Legal Counsel (General Matter) in the review and finalization of general contracts of the Company
  • Assisting the HR Department in handling legal questions related to employees complaints and disputes and assist in the finalization of the HR policies including the company regulation
  • Monitors and provides updates on regulatory development related to litigation, customers complaints and labor
  • Develops and maintains strong contacts with the regulator for any issues related to litigation, customers complaints and labor
  • Take active participations in AAJI forums for initiatives or programs related to litigation, customers’ complaints and labor

    Principle Duties & Responsibilities:

  • Overseeing Corporate Legal function to (i) ensure corporate legal assistance is duly provided across all department/function in the Company in order to protect the Company’s legal interests and mitigate unwanted legal risks; (ii) supervise corporate legal team in discharging assignments and its deliverable within the prescribed timeline; (iii) ensure the effectiveness and sound of legal advices to relevant business and functional units by taking into account the business needs.
  • Assisting Chief Legal & Company Secretary to supervise function of Company Secretary; arrange a General Meeting of Shareholders, both annual and extraordinary, arrange BOD/SLT and BOC meetings, prepare minutes of meeting and meeting pack for such meetings, act as corporate document repository to maintain corporate legal documents, TOR of BOD and BOC as well as various committee in proper and effective manner, arrange for a fit and proper test of newly appointed BOD and BOC or other parties as required by relevant laws and regulations.
  • Liaising and closely working with Group and Regional Legal with respect to various mandatory reports, certification, assigned business projects (digital and non-digital) and trainings.
  • Maintaining and enhancing database of corporate agreements, power of attorneys, and other legal documents in a proper manner, including to alert relevant business or functional units should agreements or legal documents are about to expired.
  • Preparing, reviewing and finalize legal documents with certain complexity, i.e. partnership distribution agreements, insurance product policies, reinsurance agreements, lease agreements, collaboration agreement for digital business, etc.
  • Negotiating terms of the foregoing legal documents with in-house legal counsel or external counsel of third parties, as and when necessary.
  • Involving in product development process, that includes prepare and review product specification, policy provisions for new and existing products, as well as other relevant product documentations
  • On behalf of Chief Legal & Company Secretary, attending meetings with SLT, SMT and PRUsynergy member to present and discuss various assignments, issues and provides practical legal advices
  • Managing corporate legal team and ensuring their skill, knowledge and capabilities are up to the level needed by the company from time to time.

     Bertanggung Jawab:

  • Memberikan pendapat hukum, dan memberikan mitigasi terhadap risiko hukum yang mungkin timbul dikemudian hari berkaitan dengan pemberian kredit pada semua segmen yang ada di Bank, yaitu Digital Banking, Consumer, SME, dan Staff Loan.
  • Memberikan pendapat hukum sehubungan dengan aspek hukum kerjasama  antara Bank dengan pihak ketiga dalam ruang lingkupProperty Facility Management (“PFM”), multifinance, dan developersesuai dengan aturan hukum yang berlaku dan memberikan mitigasi terhadap risiko hukum yang mungkin timbul dikemudian hari.
  • Melakukanreviewterhadap perjanjian-perjanjian/surat-surat yang dibuat oleh Bank dengan pihak ketiga dalam ruang lingkup PFM termasuk dokumen-dokumen legalitas yang berkaitan dengan fasilitas/property dan aset yang dimiliki dan/atau digunakan Bank untuk kegiatan operasional, dan review terhadap produk Bank.
  • Membuatdraftperjanjian-perjanjian baku dan surat-surat yang berkaitan dengan perkreditan untuk semua segmentasi pemberian kredit sesuai dengan Risk Appetite Bank dan ketentuan perbankan serta Otoritas Jasa Keuangan dan  peraturan-peraturan hukum yang berlaku di Indonesia.
  • Membuatdraftperjanjian-perjanjian dan surat-surat antara pihak ketiga dan Bank terkait dengan fasilitas/property dan aset yang dimiliki dan/atau digunakan Bank untuk kegiatan operasional.
  • Membuat perjanjian kerjasama dan melakukanreviewdokumen perusahaan multifinance.
  • Membuat perjanjian kerjasama dan melakukanreviewdokumen perusahaan pengembang/developer.
  • Membuat perjanjian kerjasama dan melakukanreviewdokumen notaris rekanan.
  • Membuat perjanjian kerjasama terkait PFM.
  • Melakukanreviewdokumen untuk permohonan penggunaan notaris non
  • Melakukanreviewterhadap aspek hukum suatu kebijakan dan prosedur yang dibuat oleh Bank terkait pemberian kredit, kerjasama pembiayaan multifinance, kerjasama dengan developer dan property & PFM.
  • Menyiapkan perjanjian restrukturisasi, memeriksa dan meneruskan instruksi kepadaloan operationterkait setup limit restrukturisasi, pelunasan, recovery, write off dan pelepasan jaminan untuk nasabah Wholesale Banking.
  • Menyiapkan dokumen pelunasan dan penarikan jaminan, termasuk surat roya, pembatalanbanker’s clause untuk nasabah ex wholesale banking.
  • Terlibat dan mendukung project-project untuk produk/aktivitas pemberian kredit baru yang akan diluncurkan oleh Bank, termasuk pertemuan dengan pihak eksternal.
  • Mendukung transkasi jual beli asset Bank.
  • Membuat perjanjian jual beli dan pengalihan portofolio kredit Bank.
  • Mengirimkannya dokumen asli perjanjian ke bagianCredit Documentation Unit(CDU).
