Responsibilities 

  • Providing pre-litigation & litigation support and advice and coordinating litigation cases with external litigators
  • Reviewing legal notice (somasi) from customers/lawyers on various legal issues and preparing appropriate legal responses to mitigate unwanted legal risks
  • Coordinating litigation team to accompany staffs during pre-litigation and litigation stages
  • Arranging, providing recommendation and monitoring the engagement of external litigator including its legal fees and expenses
  • Developing and maintaining monthly update report on pre-litigation and litigation cases to management and PCA Legal
  • Supervising and monitoring the delivery of assignments of team member in Litigation
  • Assisting and supporting PLA ABC officer in discharging his accountabilities set out in Group/PCA ABC Policy by pro-actively assisting line management in identifying and containing ABC risks, reporting potential and actual bribery and corruption, monitoring implementation of the ABC policy, preparing annual ABC risk assessment, conducting ABC training and other ad-hoc project

Qualifications

  • Proficient in both spoken and written English
  • Strong practical knowledge of the Indonesian legal system

  • Be enthusiastic person and effective team member
  • Position will be based in Jakarta and may require occasional travel up-country 

Responsibilities

  • Undertake all activities typical of a legal adviser, including drafting contracts, letters of advice, legal opinions, and other legal instruments;
  • Provide legal advice regarding corporate and commercial issues, including in respect of merger and acquisitions, banking, energy and infrastructure, real estate or foreign direct investments into Indonesia. This may include due diligence, research, drafting and negotiating agreements and liaising directly with clients;
  • Assist with company formations, OSS applications and other related matters;
  • Assist team in implementing transactions, including preparation of transactional documents and filings to relevant authorities;
  • Assist with DFDL’s business promotion efforts, including by assisting with seminars and researching and writing articles; and
  • Provide general legal assistance to other advisers in the office and other tasks reasonably associated with the foregoing.

  • Minimum bachelor’s degree in law

Responsibilities

  • Provide initial draft and performs initial review of routine SINAR project work documents, including but not limited to NDAs, resolutions, Scope of Work (SOW), memorandums, deliverables, legal opinions, and side letters.
  • Work with external legal subcontractors to complete subscription documents 
  • Assist the Chief of Party in managing due diligence process by providing diligence checklists and coordinating review of responses.
  • Provide guidance and legal opinion on PPA litigation/arbitrage/termination, legal and regulatory development and reform, bank guarantees transactions, government’s administrative laws and regulations, state owned enterprises legal structures, corporate and shareholding ownership laws, transfer of assets to public enterprises, insurances, contract enforcement and other energy business related matters.
  • Conduct initial review and provides initial drafts of amendments, consent, and waiver requests.
  • Maintain and update compliance checklists
  • Assist the Chief of Party with applicable transactions-related obligations and protocols (regulatory, contractual, and internal) and collaborates with Objective Leads or external attorney as needed.
  • Conduct and consolidates research into a concise relevant material such as summarizing a new or proposed regulation and assist in preparing talking points.
  • Provide initial review of draft press release and public announcement related to SINAR project
  • Organize legal documents and materials on electronic database (i.e., Egnyte) and preserving confidentiality and respect sensitivities.
